These Terms of Use ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and MedSpeakPro governing your access to and use of the MedSpeakPro mobile application and all related services.

ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER with any questions you may have regarding a medical condition, symptoms, medications, or treatment. Never disregard professional medical advice or delay in seeking it because of something you have learned through this App.

By using this App, you expressly acknowledge and agree that:
You are responsible for maintaining the confidentiality of your account and any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Certain features of MedSpeakPro require a paid subscription ("Premium"). By purchasing a subscription, you agree to:
All subscriptions are processed and managed by Apple through the App Store. We do not have access to your payment information. Billing inquiries, refund requests, and payment disputes must be directed to Apple.

All content, features, and functionality of MedSpeakPro, including but not limited to text, graphics, logos, icons, images, audio files, video, software code, user interface design, and data compilations, are the exclusive property of MedSpeakPro or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial educational purposes only.
You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the App without our prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
We expressly disclaim all warranties, including but not limited to:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APP OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
The foregoing limitations apply even if we have been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, strict liability, or otherwise).
Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless MedSpeakPro, its developers, officers, directors, employees, agents, licensors, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees and legal costs) arising from or related to:
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
The App may utilize third-party services, including but not limited to AI/machine learning services for pronunciation feedback, analytics services, and payment processing through Apple. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services.
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding collection, use, and disclosure of your information.
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. We will notify users of material changes by:
Your continued use of the App after any changes to these Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the App.
We reserve the right to terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including but not limited to:
You may terminate your use of the App at any time by deleting the App from your device and cancelling any active subscriptions through your App Store account settings.
Upon termination, your right to use the App will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New York, without regard to its conflict of law provisions.
Before initiating any formal dispute resolution process, you agree to first contact us through our support form and attempt to resolve the dispute informally for at least 30 days.
If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MedSpeakPro regarding your use of the App and supersede all prior agreements, understandings, and communications.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or internet service failures.
